Demo Terms of Service

These Demo Terms of Service (“Terms”) govern your access to and use of the public demonstration platform operated by Modulate, Inc. (“Modulate”, “we”, or “us”) (the “Demo Service”). By uploading audio, viewing demo results, sharing a demo link, or otherwise interacting with the Demo Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Your use of the Demo Service is also subject to Modulate’s Privacy Policy, which describes how we collect, use, and protect personal data. Please review it carefully before using the Demo Service.
You may not access or use the Demo Service if you do not agree to these Terms or if you are prohibited from doing so under applicable law.
I. Demo Service Scope
The Demo Service is a publicly accessible, unauthenticated demonstration environment designed solely to showcase Modulate’s audio analysis and visualization technologies. It is intended for informational and evaluation purposes only and is not a substitute for Modulate’s enterprise offerings, which are governed by separate written agreements.
The Demo Service does not perform moderation decisions, enforcement actions, identity verification, or legal compliance assessments. You acknowledge and agree that any outputs or results generated are demonstrative in nature, may be derived from automated systems (including artificial intelligence models), and may not be relied upon for operational, legal, evidentiary, or decision-making purposes.
As the Demo Service allows public, unauthenticated access, you should not upload any sensitive, confidential, or personally identifiable information. Use is at your own risk.
Modulate may modify, limit, suspend, or discontinue the Demo Service, in whole or in part, at any time. If any changes materially affect your ability to access previously shared demo results, Modulate will make reasonable efforts to provide prior notice or retain access for a limited time, unless prohibited by law or technical constraints.
II. User Content
You may upload audio files to the Demo Service (“User Content”). You are solely responsible for the User Content you upload, including any consequences arising from its recording, disclosure, or use.
By uploading User Content, you represent and warrant that you own or have obtained all necessary rights, permissions, and consents required under applicable law to upload, disclose, and process such content, including but not limited to rights related to copyright, privacy, publicity, voice recording, and biometric data.
User Content may include the voices or statements of third parties. You acknowledge that Modulate does not verify the identity of any speaker, determine whether all speakers have consented to the recording or upload, or monitor User Content for legal compliance. You are solely responsible for ensuring that User Content complies with all applicable laws, including those related to wiretapping, surveillance, biometric information, data privacy, and consumer protection.
You agree not to upload User Content that is intended to identify, authenticate, impersonate, or profile any individual, or that is otherwise sensitive or regulated in nature, unless you have obtained all legally required rights and consents to do so. Uploading audio that contains biometric identifiers or voiceprints without proper consent may violate applicable law and is expressly prohibited.
You should not upload any User Content unless you are authorized to do so and have clearly informed all affected individuals of the purpose and public nature of the Demo Service.
III. License Grant to Modulate
By uploading User Content, you grant Modulate a non-exclusive, worldwide, royalty-free, and sublicensable license to host, process, analyze, and transform the User Content solely to operate, maintain, and demonstrate the Demo Service.
As between you and Modulate, you retain ownership of your User Content. Modulate retains all rights, title, and interest in the Demo Service, including any underlying models, systems, visualizations, and technologies, and in all outputs generated through the Demo Service, excluding the original uploaded audio.
Modulate may use aggregated, anonymized, or non-identifiable outputs derived from User Content solely to support the functioning of the Demo Service. Such outputs will not include identifiable voice data or raw uploaded audio and Modulate will not use User Content to train its AI models.
To the extent permitted by law, the license granted under this Section will survive termination of your access to the Demo Service solely to support the limited uses described above and only for as long as necessary to do so.
IV. Processing & Retention
User Content (uploaded audio) is processed on an ephemeral basis and is retained only for the time necessary to generate demo results, after which the audio is promptly deleted in accordance with Modulate’s internal data handling procedures.
Modulate may retain the results of analysis generated through the Demo Service, such as visualizations or transcriptions, for a limited period to support sharing and review. Demo results are retained for a limited duration, typically up to six (6) months, subject to Modulate’s internal retention policies.
Temporary or residual copies of uploaded audio may exist briefly in system memory, logs, or backups as part of normal operations and will be purged within a reasonable period.
To the extent applicable, users may request the deletion of their uploaded audio or outputs by contacting legal@modulate.ai. Modulate will honor such requests consistent with its legal obligations and internal retention policies.
V. Public Access & Sharing
Demo results may be accessible through unique links generated by the Demo Service. Possession of such a link may allow access to associated demo outputs, regardless of whether the viewer is the original uploader.
The Demo Service is not designed for confidential or sensitive use. Modulate does not authenticate access to shared links and does not monitor who accesses demo results through them. As such, you should not upload audio that includes sensitive, confidential, or personally identifiable information.
Demo links expire automatically after a set duration and may be disabled or removed by Modulate at any time without notice. You are responsible for any sharing of demo links, including any resulting unauthorized access.
VI. Prohibited Content
You may not upload any User Content that is unlawful, infringing, abusive, harassing, misleading, invasive of privacy, or otherwise violates applicable law or the rights of any individual. This includes, without limitation, content involving child sexual abuse material, nonconsensual or unlawful recordings, or content intended to impersonate or mislead others.
Modulate does not proactively monitor or review User Content. However, Modulate reserves the right to remove, restrict access to, or disable any User Content or demo result that it believes, in its sole discretion, may violate these Terms or applicable law. Modulate may take such action at any time, with or without notice, and may cooperate with law enforcement or other authorities as required or permitted by law.
Modulate’s failure to remove or act upon any User Content does not constitute approval of such content or a waiver of its rights.
VII. No Warranties
The Demo Service and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.
Without limiting the foregoing, Modulate disclaims all implied warranties, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or arising out of course of dealing or usage of trade.
Modulate does not warrant that the Demo Service or its outputs will be accurate, complete, reliable, error-free, or uninterrupted. Outputs generated by the Demo Service are for informational and demonstration purposes only. They are not intended for use in any operational, compliance, investigative, or enforcement capacity and do not constitute factual determinations, conclusions, or professional advice.
Users are solely responsible for interpreting demo outputs and should not rely on them to make decisions involving legal, safety, identity, or moderation actions.
VIII. Limitation of Liability
To the maximum extent permitted by applicable law, Modulate will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Demo Service or any outputs, whether based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if Modulate has been advised of the possibility of such damages.
Without limiting the foregoing, Modulate will not be liable for any loss of data, loss of profits, loss of revenue, loss of business, loss of goodwill, or reputational harm arising from your use of the Demo Service or your reliance on any outputs.
This limitation of liability does not apply to damages resulting from Modulate’s gross negligence, willful misconduct, or violation of applicable law.
IX. Indemnification
You agree to defend, indemnify, and hold harmless Modulate and its officers, directors, employees, contractors, and agents from and against any third-party claims, demands, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to (i) your User Content, including any claim that such User Content infringes, misappropriates, or violates the rights of any third party; (ii) your failure to obtain necessary rights, permissions, or consents; or (iii) your use of the Demo Service in violation of these Terms or applicable law.
This indemnification obligation does not apply to the extent that any claim or liability arises from Modulate’s gross negligence, willful misconduct, or violation of applicable law.
X. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.
Any legal action or proceeding arising out of or relating to these Terms or your use of the Demo Service shall be brought exclusively in the state or federal courts located within the Commonwealth of Massachusetts, and you consent to the personal jurisdiction of such courts for such purposes.
This choice of law and forum does not affect any rights you may have under the laws of your jurisdiction as a consumer, where applicable.
XI. Miscellaneous
A. Eligibility
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, to access or use the Demo Service. By using the Demo Service, you represent and warrant that you meet this requirement and that your use does not violate applicable law.
B. Changes to These Terms
Modulate may update or modify these Terms at any time. Updated Terms will become effective upon posting. By accepting the Terms at the time of each upload, you agree to the then-current version. Where legally required, material changes may also be communicated through a prominent notice on the Demo Service.
C. Assignment
You may not assign or transfer these Terms, in whole or in part, without Modulate’s prior written consent. Modulate may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
D. No Third-Party Beneficiaries
These Terms are intended solely for the benefit of you and Modulate. No third party has any rights under these Terms.
E. No Relationship
These Terms do not create any partnership, agency, joint venture, fiduciary, or employment relationship between you and Modulate.
F. Severability; Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Modulate’s failure to enforce any provision of these Terms is not a waiver of its rights to do so later.
G. Entire Agreement
These Terms constitute the entire agreement between you and Modulate regarding the Demo Service and supersede all prior or contemporaneous communications, agreements, or understandings relating to its subject matter.
H. Export Compliance
You may not access or use the Demo Service if you are located in, or are a resident of, a jurisdiction subject to U.S. trade sanctions or export restrictions. By using the Demo Service, you represent that you are not subject to such restrictions and are not listed on any U.S. government restricted party list.

Please include a detailed description of the content, the URL or link where it was accessed, and the reason for your report. Modulate will review submissions in accordance with applicable laws and its internal content handling procedures.
